Optional Redemption:
- Prior to the par call date set forth below, Vale Overseas may, at its option, redeem the notes, in whole at any time or in part from time to time, at a redemption price equal to the greater of (i) 100% of the principal amount of the notes to be redeemed and (ii) a "make-whole" amount described under "Description of the Notes—Optional Redemption" in this prospectus supplement plus, in either case, accrued and unpaid interest on such notes to the date of redemption. On or after the par call date, Vale Overseas may, at its option, redeem the outstanding notes, in whole at any time or in part from time to time, at par plus accrued and unpaid interest thereon to the redemption date.
- The par call date is April 8, 2030 (the date that is three months prior to the stated maturity of the notes).
Covenants:
The amended and restated indenture governing the notes contains restrictive covenants that, among other things and subject to certain exceptions, limit Vale Overseas' ability to merge or transfer substantially all of its assets and Vale's ability to merge or transfer substantially all of its mining properties or assets and to incur liens.
